TERMS AND CONDITIONS

Effective date: January 1, 2026

1. Acceptance of These Terms

These Terms and Conditions govern your access to and use of winstoncpagroup.com and any pages, forms, digital products, publications, downloads, email content, or other materials operated by The Winston CPA Group doing business as The Winston CPA Group (“The Winston CPA Group,” “we,” “us” or “our”). By visiting the website, submitting a form, creating an account, purchasing a product, or using our materials, you agree to these Terms. If you do not agree, do not use the website or purchase our products.

2. Website Purpose and Offerings

The website provides information about The Winston CPA Group, professional services, educational content, digital publications, business case studies, templates, tools, events, and related offerings. Product descriptions and service information may change. We may correct errors, update content, change prices or discontinue an offering at any time.

3. No Professional or Client Relationship

Website content, free resources, emails, digital products, and purchases do not create a CPA-client, accountant-client, tax-advisor, legal, fiduciary, consulting, or other professional relationship. Professional accounting, tax, advisory or consulting services require a separate written engagement agreement signed by The Winston CPA Group and the client. Do not send confidential tax, financial, legal, or personal records through a general website form or ordinary email unless we provide a secure method and ask you to use it.

4. Educational Information; No Individual Advice

Our website and digital products are educational and informational. They are not legal, tax, investment, financial-planning or individualized accounting advice. Business and legal outcomes depend on facts, contracts, areas, and current law. You are responsible for obtaining advice from qualified professionals who can evaluate your specific circumstances before acting on any information presented.

5. Eligibility and Authority

You must be at least 18 years old and legally able to enter into a contract to purchase from the website. If you purchase for a business or organization, you represent that you have authority to bind that entity to these Terms.

6. Purchases, Prices, and Taxes

Before purchasing, you are responsible for reviewing the complete product description, price, and applicable policies. A purchase becomes binding when you submit payment and the transaction is accepted. Prices may change without notice, but changes will not affect completed purchases. You are responsible for applicable taxes, transaction charges and other amounts shown at checkout. We may cancel or refund an order affected by a pricing, payment, technical or product-listing error.

7. Digital Products and License

Digital products are licensed, not sold as unrestricted intellectual property. Unless a product page states otherwise, one purchase grants one purchaser a limited, revocable, non-exclusive, non-transferable license to access and use the product for the purchaser’s personal or internal business education. You may download the file and print one working copy for your own use.

You may not share, forward, reproduce, republish, resell, sublicense, distribute, post, teach from, modify for resale, upload to a shared drive, course platform, public database, generative artificial intelligence system or knowledge base, or make the product available to employees, board members, clients, students, teams or other third parties without written permission. Contact us for team, boardroom, classroom, or organizational licensing.

8. Intellectual Property

The website and its content - including text, publications, frameworks, designs, graphics, photographs, audio, video, trademarks, service marks, logos, course materials, and downloadable products - are owned by or licensed to The Winston CPA Group and are protected by intellectual-property laws. Except for the limited license expressly granted with a purchase, no rights are transferred to you. The Winston CPA Group, Behind the Brand, related publication names, branded frameworks, and associated marks may not be used without written permission.

9. Acceptable Use

You agree not to interfere with the website, attempt unauthorized access, introduce malicious code, scrape or harvest content or contact information, impersonate another person, submit false payment or registration information, violate another party’s rights, or use the website or materials for unlawful, deceptive, or infringing activity.

10. Third-Party Platforms and Links

The website may use or link to third-party services, including Wix, payment processors, email marketing platforms, analytics providers, advertising platforms, and external websites. Their services are governed by their own terms and privacy practices. We are not responsible for third-party availability, security, content, or actions, although we select service providers to support our operations.

11. Case Studies, Commentary and Third-Party Names

Our business case studies and commentary may discuss public records, litigation, companies, brands, and individuals for educational purposes. Allegations, reported findings, party positions and court decisions are identified according to the sources reviewed. Nothing on the website implies sponsorship, affiliation or endorsement by the people or organizations discussed unless expressly stated.

12. No Guarantee of Results

We do not promise that use of the website, a digital product, a template, a strategy, or educational material will produce a particular financial, business, tax, legal, career or operational result. Examples and case studies are illustrative and are not guarantees.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the website and digital products are provided “as is” and “as available.” We deny warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted access, and error-free operation. We do not warrant that every item will remain current after its publication date.

14. Limitation of Liability

To the fullest extent permitted by law, The Winston CPA Group and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages; lost profits, revenue, data, opportunities or goodwill; or decisions made in reliance on website content or digital products. Our total liability arising from a purchased digital product will not exceed the amount paid for that product. Some areas do not allow certain limitations, so these limitations apply only to the extent permitted by law.

15. Indemnification

You agree to defend, indemnify and hold harmless The Winston CPA Group and its owners, employees, contractors and affiliates from claims, losses, liabilities and reasonable costs arising from your violation of these Terms, misuse of the website or products, infringement of another party’s rights, or unauthorized sharing or commercial use of our intellectual property.

16. Suspension and Termination

We may restrict or terminate access to the website, an account, a download, or a product license when we reasonably believe a user has violated these Terms, engaged in fraud or abuse, threatened security, or infringed our rights. Termination does not eliminate obligations that arose before termination, including payment and intellectual-property restrictions.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes that cannot be resolved informally will be brought in a state or federal court with area in Fulton County, Georgia. Before filing a claim, the parties agree to make a reasonable good-faith effort to resolve the issue directly.

18. Changes to These Terms

We may update these Terms by posting a revised version and effective date. Changes apply prospectively unless law requires otherwise. Your continued use of the website after the revised Terms become effective means you accept them.
